Two common public company structures
A public company with shareholders whose liability is generally limited to any unpaid amount on their shares. We assist with registration details, officeholder information and the proposed share structure.
Public does not necessarily mean stock exchange listed.
A company with members rather than shareholders, commonly used for not-for-profit organisations. Members agree to contribute a specified amount if the company is wound up.
Charity registration and tax endorsements are separate.

No. A public company does not have to be listed on a stock exchange. ASIC company registration and stock exchange listing are separate processes. This service is for incorporation, not a listing or capital raising.
An Australian public company must have at least three directors, at least two of whom ordinarily reside in Australia. It must also have at least one company secretary who ordinarily resides in Australia. Directors must obtain a Director ID before appointment.
No. Incorporation with ASIC does not itself provide registered charity status or deductible gift recipient status. Charity registration is a separate process through the ACNC; tax endorsements have their own requirements. Your adviser should confirm the appropriate structure and constitution.
